Why it matters
In a search fund, the acquisition is not the finish line. The real test starts when the searchers move from finding and buying a company into leading it. Operator judgement before acquisition can make the difference between an attractive thesis and a business that can actually be run, improved and scaled.
Starting point
H&B Mittelstands GmbH is a search fund focused on identifying, acquiring and building a Mittelstand business. The founders bring strong commercial and financial capability and are currently reviewing acquisition targets. The model requires senior operating judgement around which opportunities are attractive and what would happen after a target was acquired.
David was involved before the formal start of the fund and became one of the first committed investors, helping shape the proposition, assessment logic and operating lens from the beginning.
Mandate
David’s role was to act as an active investor and operator sparring partner. He helped assess targets, test value-creation logic and translate investment theses into the kind of operating agenda a young acquisition team would need after closing.
What changed
– Helped shape the search-fund proposition from an operator’s perspective.
– Brought equity commitment as well as practical operating experience.
– Reviewed target situations through commercial logic, operating model, systems, people, accountability and economics.
– Tested whether a company could support the transition from owner-led or founder-led operation into professional management.
– Helped translate attractive opportunities into practical post-acquisition priorities.
Value created
H&B gained a committed investor who could challenge opportunities beyond the spreadsheet and support the move from search to operation. For David, the case shows a current investor-backed mandate where capital commitment, Mittelstand judgement and operating experience sit together.
The public value is not a confidential target or transaction. It is the ability to help young acquisition entrepreneurs understand what must be true operationally before they buy, and what has to change after they own the business.
