Why it matters

Starting point

Greenlock GmbH developed CaraSave, a smart alarm system for caravans. The venture was founded with several shareholders around a hardware product idea, but the original setup became too complex for the stage of the business.

Some shareholders were not contributing at the level required. The company also needed external capital and clearer governance to continue product and market development.

Mandate

David’s role was to help restructure the company from inside the shareholder group: simplify the cap table, bring in a better-fit ownership structure, attract financing and make the venture more professionally investable.

What changed

– Reworked the shareholder structure and removed misaligned or non-performing shareholders.
– Brought in a new shareholder setup that better matched the company’s needs.

Value created

The company gained a cleaner cap table, additional financing and a more credible structure for the next phase. The venture later entered administration, so this should not be presented as a success exit or growth case.
